These Terms of Service (“Terms”) govern access to and use of PineTree Payments, including our website, merchant dashboard, point-of-sale tools, hosted checkout pages, payment links, wallet features, reporting tools, APIs, support tools, and related products and services (collectively, the “Services”).

These Terms are entered into between PineTree Payments (“PineTree,” “PineTree Payments,” “we,” “our,” or “us”) and the person, business, merchant, organization, or entity accessing or using the Services (“Merchant,” “you,” or “your”).

By accessing or using PineTree, creating an account, connecting a wallet, creating a payment, using hosted checkout, using POS tools, using our APIs, or enabling any provider integration, you agree to these Terms. If you do not agree, you may not use the Services.

1. PineTree Overview

PineTree is a payment infrastructure platform designed to help merchants accept digital asset payments through a unified interface. PineTree may provide tools for point-of-sale payments, hosted checkout, payment links, wallet balance visibility, transaction reporting, payment status tracking, and provider-connected cash-out or off-ramp workflows.

PineTree is not a bank. PineTree is not a securities exchange. PineTree is not an investment adviser. PineTree does not provide legal, tax, accounting, financial, or investment advice.

2. Eligibility

To use PineTree, you must:

Be at least 18 years old.

Have authority to bind the business or organization you represent.

Use PineTree only for lawful business purposes.

Provide accurate and complete account information.

Comply with these Terms and all applicable laws.

Maintain the security of your account credentials.

Use supported wallets, providers, networks, and payment methods only as permitted.

PineTree may refuse, suspend, restrict, or terminate access if we believe a user or merchant is ineligible, presents compliance risk, violates these Terms, or uses the Services in a prohibited manner.

3. Merchant Accounts

Merchants may be required to create an account to access PineTree’s dashboard, POS tools, checkout tools, reports, provider settings, wallet tools, or APIs.

You are responsible for:

Maintaining accurate account information.

Ensuring authorized users are properly managed.

Protecting login credentials.

Monitoring account activity.

Promptly notifying PineTree of unauthorized access.

Complying with laws applicable to your business.

Ensuring your products and services are lawful.

Responding to customer inquiries and disputes related to your business.

PineTree may rely on actions taken through your account as authorized by you.

4. Authorized Users

A merchant may invite employees, contractors, agents, or representatives to access PineTree. You are responsible for all activity by authorized users.

You must ensure authorized users:

Use PineTree only for legitimate business purposes.

Maintain confidentiality of account access.

Do not misuse payment, customer, transaction, or wallet information.

Comply with these Terms.

PineTree may restrict or remove user access if we believe access creates risk.

5. Services Provided

Depending on availability, account configuration, provider approval, and technical support, PineTree may offer:

Merchant dashboard

Point-of-sale payment tools

Hosted checkout pages

Payment links

Developer APIs

Wallet balance visibility

Payment status tracking

Transaction history

Reporting and exports

Provider connection tools

Off-ramp or cash-out workflows through third-party providers

Support ticket tools

Administrative tools

PineTree may modify, suspend, add, or remove features at any time.

6. Digital Asset Payments

PineTree supports digital asset payment workflows through supported networks, wallets, and providers. Supported assets and networks may change over time.

Digital asset payments may involve:

Public blockchain networks

Wallet applications

Provider APIs

Payment links

QR codes

Transaction hashes

Network confirmations

Fees

Delays

Failed or incomplete transactions

Price volatility

Irreversible transfers

You understand that digital asset transactions may be final and irreversible once confirmed on a network. PineTree may not be able to reverse, cancel, or recover payments sent to the wrong address, wrong network, wrong amount, or unsupported wallet.

7. Merchant Responsibility for Transactions

Merchants are responsible for:

Verifying transaction details before creating payment requests.

Ensuring correct amounts, taxes, and order references.

Providing goods or services to customers.

Handling refunds, returns, disputes, and customer support.

Maintaining proper tax and accounting records.

Reviewing transaction reports.

Ensuring wallet addresses are accurate.

Ensuring connected providers are properly configured.

Complying with applicable laws and regulations.

PineTree may provide payment status information, but merchants remain responsible for their own business operations.

8. Wallets and Private Keys

PineTree may allow merchants to connect or display information from supported wallets. PineTree does not require and does not request private keys, seed phrases, wallet recovery phrases, or wallet passwords.

You are solely responsible for:

Your wallets

Private keys

Seed phrases

Wallet recovery information

Wallet permissions

Wallet security

Authorized signatures

Transfers sent from your wallet

Network fees

Losses caused by wallet compromise or user error

PineTree cannot recover self-custody wallet credentials or reverse blockchain transactions.

9. Cash-Out and Off-Ramp Services

PineTree may offer cash-out or off-ramp functionality through third-party providers, including MoonPay or other supported providers.

Cash-out and off-ramp services may allow merchants or users to convert supported digital assets into fiat currency or initiate payout flows through a regulated third-party provider.

PineTree does not guarantee that cash-out services will be available for every merchant, region, state, asset, network, wallet, payout method, or transaction amount.

Availability may depend on:

Provider approval

KYC or KYB requirements

Jurisdiction

State restrictions

Asset support

Network support

Payout method support

Provider risk review

Transaction limits

Compliance requirements

Technical availability

PineTree may display cash-out quotes, estimated fees, status updates, and provider references. Quotes may expire, change, or fail.

A third-party provider may require you to accept its own terms, privacy policy, KYC/KYB process, and compliance review before using cash-out services.

10. Third-Party Providers

PineTree integrates with third-party providers to support payment, wallet, blockchain, infrastructure, and off-ramp functionality.

Third-party providers may include:

Wallet providers

Blockchain infrastructure providers

Off-ramp providers

Payment processors

Database providers

Hosting providers

Email providers

Analytics providers

Compliance providers

PineTree is not responsible for third-party provider outages, errors, delays, fees, denials, compliance decisions, account restrictions, unsupported assets, or rejected transactions.

Your use of third-party services may be governed by separate terms and privacy policies.

11. No Custody by PineTree

Unless explicitly stated otherwise in a separate written agreement, PineTree does not custody merchant funds, customer funds, or digital assets.

PineTree’s platform is designed to help merchants create payment requests, track payment status, view balances, and coordinate provider workflows. Funds may be held in merchant-controlled wallets, provider-controlled accounts, or blockchain addresses outside PineTree’s control.

PineTree does not move funds without appropriate authorization or provider-supported workflow.

12. Fees

PineTree may charge fees for use of the Services. Fees may include:

Platform fees

Transaction fees

Payment link fees

POS fees

API usage fees

Cash-out coordination fees

Provider-related fees

Network fees

Third-party processing fees

Fees may vary by feature, merchant plan, provider, network, payment method, or transaction type.

Third-party providers and blockchain networks may charge separate fees. PineTree is not responsible for fees charged by third parties or blockchain networks.

PineTree may update pricing or fees with notice where required.

13. Taxes

Merchants are responsible for determining, collecting, reporting, and remitting all taxes associated with their products, services, transactions, sales, income, and business activities.

PineTree may provide tax-related fields, reports, or transaction summaries, but PineTree does not provide tax advice and does not guarantee the accuracy of merchant tax settings.

You should consult a qualified tax professional regarding your obligations.

14. Prohibited Uses

You may not use PineTree for unlawful, deceptive, abusive, harmful, or high-risk activities.

Prohibited uses may include:

Illegal goods or services

Fraud

Money laundering

Terrorist financing

Sanctions violations

Human trafficking

Exploitation

Illegal gambling

Unlicensed financial services

Unlicensed securities activity

Ponzi schemes

Pyramid schemes

Scams

Fake investment opportunities

Stolen goods

Counterfeit goods

Unauthorized pharmaceuticals

Illegal drugs

Weapons trafficking

Malware

Ransomware

Credential theft

Darknet activity

Privacy invasion

Harassment

Any activity prohibited by applicable law or provider policies

PineTree may suspend, restrict, report, or terminate accounts suspected of prohibited activity.

15. Compliance

You are responsible for complying with all laws and regulations applicable to your business and use of PineTree.

Depending on your activities, this may include laws related to:

Payments

Consumer protection

Taxes

Money transmission

Anti-money laundering

Sanctions

Data protection

Privacy

Digital assets

Advertising

Refunds

Disputes

Electronic communications

PineTree may request information to support compliance, risk review, fraud prevention, or provider requirements. Failure to provide requested information may result in account restriction or termination.

16. Sanctions and Restricted Parties

You may not use PineTree if you are located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to applicable sanctions, or if you are listed on a sanctions list.

You may not use PineTree to transact with sanctioned persons, prohibited jurisdictions, or restricted entities.

PineTree may screen accounts, transactions, wallets, or activity where appropriate.

17. Account Review, Suspension, and Termination

PineTree may review, suspend, restrict, or terminate access to the Services if we believe:

You violated these Terms

Your account presents risk

Your activity is suspicious

Your business is prohibited

A provider rejects or restricts your account

Required information is missing or inaccurate

Your use may violate law

Your account creates operational or security risk

You may stop using PineTree at any time. Certain records may be retained as required for legal, tax, accounting, compliance, security, or audit purposes.

18. Payment Status and Reporting

PineTree may display payment statuses such as created, pending, processing, confirmed, failed, incomplete, cancelled, or similar statuses.

Payment status is based on PineTree records, provider events, blockchain confirmations, and system processing. Status may change as additional provider or network information becomes available.

Reports and dashboards are provided for convenience and operational visibility. Merchants should independently verify financial records and consult accounting professionals where appropriate.

19. APIs and Developer Tools

If PineTree provides APIs, API keys, webhooks, or developer tools, you agree to:

Use them only for authorized purposes

Keep API keys secure

Not share keys publicly

Not overload or abuse PineTree systems

Not reverse engineer or attack the platform

Use reasonable security practices

Notify PineTree of compromised credentials

Comply with documentation and rate limits

PineTree may revoke API access at any time for security, misuse, nonpayment, or policy reasons.

20. Service Availability

PineTree aims to provide reliable services but does not guarantee uninterrupted, error-free, or always-available access.

Services may be affected by:

Maintenance

Internet outages

Provider outages

Blockchain congestion

Wallet issues

Database or hosting issues

API failures

Security incidents

Regulatory restrictions

Force majeure events

PineTree is not liable for losses caused by service interruptions, provider failures, network delays, or blockchain conditions outside our control.

21. Beta Features and Testing

PineTree may release beta, experimental, test, or preview features. These features may be incomplete, unstable, limited, or subject to change.

You use beta features at your own risk. PineTree may modify or discontinue beta features at any time.

22. Intellectual Property

PineTree owns or licenses all rights in the Services, including software, designs, interfaces, logos, trademarks, documentation, content, and technology.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from PineTree’s technology except as expressly permitted.

You retain ownership of your business information and content, but grant PineTree the rights needed to operate, secure, process, and support the Services.

23. Feedback

If you provide suggestions, ideas, feedback, or recommendations, PineTree may use them without restriction or compensation.

24. Confidentiality

You may receive non-public information about PineTree, including technical, business, product, pricing, roadmap, or integration information. You agree to protect such information and not disclose it except as authorized.

25. Data and Privacy

PineTree’s handling of personal information is described in our Privacy Policy. By using the Services, you acknowledge our Privacy Policy.

26. Disclaimers

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, PineTree disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

PineTree does not guarantee:

That transactions will always complete

That providers will approve every merchant

That cash-out will be available in every region

That every wallet will work

That blockchain networks will operate without delay

That reports will be error-free

That digital asset values will remain stable

That funds sent to the wrong address can be recovered

27. Limitation of Liability

To the fullest extent permitted by law, PineTree will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages.

PineTree will not be liable for losses arising from:

Blockchain network failures

Wallet compromise

User error

Incorrect wallet addresses

Provider outages

Provider compliance decisions

Failed transactions

Market volatility

Unauthorized account access caused by user negligence

Regulatory restrictions

Third-party service failures

To the fullest extent permitted by law, PineTree’s total liability for any claim will not exceed the fees paid by you to PineTree in the three months before the event giving rise to the claim, or $100 if no fees were paid.

28. Indemnification

You agree to defend, indemnify, and hold harmless PineTree, its owners, employees, contractors, affiliates, service providers, and partners from claims, damages, losses, liabilities, costs, and expenses arising from:

Your use of the Services

Your business activities

Your products or services

Your violation of these Terms

Your violation of law

Your misuse of digital assets

Your tax obligations

Your customer disputes

Your wallet or account security failures

Your infringement of third-party rights

29. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles, unless another jurisdiction is required by applicable law.

30. Dispute Resolution

Before filing a legal claim, you agree to contact PineTree and attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, disputes may be handled in the courts located in Missouri, unless applicable law requires otherwise.

31. Changes to These Terms

PineTree may update these Terms from time to time. If changes are material, we may provide notice by posting an updated version, sending an email, or displaying notice in the dashboard.

Your continued use of PineTree after updates means you accept the revised Terms.
